ARTICLE XV

MISCELLANEOUS PROVISIONS

Section 1. Management of the Director Executive.

The Executive Director shall be selected, hired, and managed by the Board of Directors. The Governing Board Standing Committee shall, however, have the power to issue directives and recommendations to the Executive Director. If a situation arises in which the Executive Director determines that he or she has received contradictory direction from the Board of Directors and the Governing Board Standing Committee, the Executive Director shall follow the direction of the Board of Directors.

Section 2. Parliamentary Procedure in Member's Annual Meetings.
The Co-Chairpersons or Executive Director shall have the authority to appoint a Parliamentarian if they deem it appropriate. The most recent edition of Robert's Rules of Order shall govern questions of parliamentary procedure that are not governed by these by-laws.

Section 3. The NAELS Reporter.
The NAELS Reporter, the official newsletter of NAELS, shall be published and distributed at least bi-annually. Ideally, the NAELS Report will be published tri-annually. One issue should be published directly following the Annual Conference. The second should be published in the semester prior to the conference, acting as a mid-term status report and possibly requesting that membership dues be paid and announcing the Annual Conference. The third should be published early in the semester in which the conference falls, acting as an announcement about and primer for the Annual Conference.

Section 4. Historian.
At each annual meeting or shortly thereafter, the co-chairs will appoint a Historian to serve until the next annual meeting. The Historian, who shall be a student or alumnus/a or a NAELS member, shall be responsible for collecting, managing, and archiving all items related to the history of NAELS.
